Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Labs LLC, a limited liability company registered in Sharjah Media City Free Zone, United Arab Emirates under License No. 2646422.01 ("Company," "we," "our," or "us"), governing your access to and use of the 1ClickReport website, platform, and services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Eligibility

You must be at least 18 years of age to use our Service. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into these Terms
• You will comply with these Terms and all applicable laws
• All registration information you submit is truthful and accurate

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access or security breach

3.2 Account Responsibility

You are responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials.

3.3 Account Termination

We may suspend or terminate your account, with notice where circumstances reasonably allow, for conduct that we believe:

• Violates these Terms or applicable laws
• Is harmful to other users or our business
• Exposes us or other users to legal liability

4. Service Description

1ClickReport provides an AI marketing analyst and reporting platform that connects to third-party services including Google Analytics 4, Google Ads, Meta Ads, Google Search Console, Shopify and Stripe. Our Service allows you to:

• Ask an AI Analyst questions about your connected accounts in plain language, and receive answers supported by your own data
• Reach the same Analyst from a compatible AI assistant such as Claude, through our Model Context Protocol (MCP) server
• Create and share customised dashboards and reports, aggregating data across platforms
• Check that a website's analytics and advertising tags fire correctly (Tracking Check)
• Run monitoring agents that watch chosen metrics and alert you when they move
• Where your plan permits, act on your connected advertising accounts — for example creating or adjusting campaigns — with your approval on each action

We continue to develop the Service, and individual features may change or be retired over time. Where we retire a feature that forms a material part of what you purchased, we will give you reasonable advance notice by email. We reserve the right to modify or discontinue other aspects of the Service at any time.

5. Subscription Plans and Pricing

5.1 Subscription Plans

We offer multiple subscription plans with different features and limitations. Details of each plan are available on our pricing page. By subscribing, you agree to pay all applicable fees for your selected plan.

5.2 Billing and Payment

• Subscriptions are billed monthly in advance
• Payment is processed through a PCI-DSS compliant third-party payment processor
• You authorize us to charge your payment method on a recurring basis
• All fees are non-refundable except as required by law or stated in our Refund Policy
• We reserve the right to change our pricing with 30 days' notice

5.3 Free Trial

We may offer a 7-day free trial for new users. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically begin, and your payment method will be charged.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of your paid period.

5.5 Waitlist Discount

Users who joined our waitlist are entitled to a lifetime 60% discount on their subscription. This discount applies for as long as you maintain an active subscription and does not expire if you upgrade or change plans.

5.6 AI Analyst Credits

Use of the AI Analyst inside the app is measured in credits, because each answer consumes third-party AI processing that we pay for. Your plan includes a monthly credit allowance.

• Allowances reset at the start of each calendar month and unused credits do not roll over
• Reading images, such as a screenshot you attach or an ad creative review, costs additional credits, because it uses a separate and more expensive model
• If you reach your allowance you may purchase additional credits, which do not expire, or continue using the Analyst through a compatible AI assistant such as Claude, which runs on your own AI subscription rather than ours
• Credits have no cash value, cannot be transferred between accounts, and are not refundable once consumed
• We may apply reasonable limits to prevent automated or abusive use that would degrade the Service for others
• Published allowances are set against the cost of AI processing at the time of publication. If those costs change materially, we may adjust allowances on 30 days' notice by email. We will not reduce an allowance you have already paid for within a period you have paid for

5.7 Perpetual Licences

We may from time to time offer a perpetual ("lifetime") licence, purchased once rather than by subscription. Where you hold such a licence, the sections of these Terms describing recurring billing, renewal and cancellation do not apply to you. Your access continues for as long as we offer the Service, subject to these Terms, and your monthly credit allowance and plan limits are those stated at the time of your purchase, as adjusted only under section 5.6. Where a perpetual licence was purchased through a third-party marketplace, refunds and billing questions are handled by that marketplace under its own policies.

6. User Responsibilities and Prohibited Conduct

6.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to send spam or unsolicited communications
• Scrape, copy, or reverse engineer any part of the Service
• Share your individual login credentials, or resell access to the Service. Inviting colleagues as members of your workspace, within the seat allowance of your plan, is permitted and is not account sharing

6.2 Data Access Authorization

You represent and warrant that you have the necessary rights and permissions to connect third-party platforms (Google Analytics, Meta Ads, etc.) to our Service and grant us access to your data from these platforms.

7. Intellectual Property Rights

7.1 Our Property

The Service, including all content, features, functionality, software, and design, is owned by AI Labs LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 Your Content

You retain ownership of any data, dashboards, or content you create using the Service ("Your Content"). By using the Service, you grant us a limited license to host, store, and process Your Content solely to provide the Service to you.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation or compensation to you.

8. Third-Party Services and Integrations

Our Service integrates with third-party platforms (Google Analytics, Meta Ads, Google Ads, Google Search Console). Your use of these integrations is subject to the respective third-party terms and policies. We are not responsible for:

• The availability, accuracy, or functionality of third-party services
• Changes to third-party APIs or terms of service
• Data loss or errors caused by third-party service interruptions
• Privacy practices of third-party services

9. Disclaimers and Warranties

We do not warrant that the data, insights, or reports generated by the Service are accurate or complete. You are responsible for verifying all information before making business decisions.

You agree to indemnify, defend, and hold harmless AI Labs LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your Content or data provided through the Service

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally.

12.2 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions or representative proceedings.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the regulations of the Sharjah Media City Free Zone Authority (Shams) and the federal laws of the United Arab Emirates, without regard to conflict of law provisions. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Sharjah Courts. Any legal action must be commenced within one year after the claim arose.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending you an email notification

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

15. Severability and Waiver

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of that right or provision.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Labs LLC regarding the Service and supersede all prior agreements and understandings.
